Dhandapani Finance – Outcome of EGM

DFL is a Non Banking Financial Company registered with RBI as Category A – Hire Purchase and Leasing Company. DFL is primarily engaged in the business of financing of tractors, construction equipments, commercial vehicles and other passenger carrying multi utility vehicles, cars, etc.

DFL is in majority owned by D.B. Zwirn & Co. L.P., New York through its investment vehicle D.B. Zwirn Mauritius. D.B. Zwirn currently owns 51% stake in DFL and has controlling interest.

Dhandapani Finance Ltd has informed BSE that the shareholders at the Extra Ordinary General Meeting (EGM) of the Company held on November 15, 2007, inter alia, have approved the following resolutions:

Increase in the Authorised Share capital of the Company from Rs 35 crores divided into 1,00,00,000 Equity Shares of Rs 10/- each and 2,50,00,000 Preference shares of Rs 10/- each to Rs 50 Crores divided into 2,50,00,000 Equity Shares of Rs 10/- each and 2,50,000 Preference shares of Rs 10/- each ranking pari-passu in all respect with existing equity / preference shares and the consequent amendments to the Memorandum and Articles of Association of the Company.

Moon was in Virgo with Uttarashadha Nakshatra. Ketu is also posited in Virgo. Venus is in conjunction with debilitated Sun in Ascendant. Jupiter is transiting over Mercury and Yogakaraka Saturn from second house. Transiting Saturn is passing through eleventh house. Mars, being a lord of second and seventh house is transiting ninth house. This position may provide good results from partners and financial dreams shall be achieved in forthcoming year.
